    Current Policy Effective Date: 1 st April 2021

    Objective: To define the Channel Partner policy and processes related to the same, so that there is complete transparency.
    Scope: The policy will be applicable to all Channel Partners registered with Solitaire (Any Project under Solitaire Brand)
    Exclusion:

    • Any project where we have assigned exclusive rights for sale to third party, sale done under such project will not be considered for payout or incentive plan (R&R)
    • Any channel partner who has signed an AOP will not be entitled for any other incentive/benefit other than the one specified in AOP

    Policy Description: Definition of Channel Partner, Registration Process, Invoice, Credit Process and Pay-out Terms

    1) Definition:The one who is having full time Real Estate Consultancy Business with applicable Govt. tax certificates and Valid RERA Number. 

    2) Process of Registration
    2.1) Channel Partner Empanelment:
    2.1.1) All CP’s need to fill up the Channel Partner Empanelment form and submit the same along with government tax certificates and RERA Number.
    2.1.2) All CP registrations will have to be approved by the CP Head.

    2.2) Customer Registration:
    2.2.1) For lead registration, CP must accompany the customer during the first site visit to register the customer in his/her/firm’s name.
    2.2.2) Site Visit Form to be mandatorily filled during every site visit and duly signed by both Client and Channel Partner.

    3) Invoice
    3.1) The Channel Partner shall raise an invoice for the final amounts payable by the company as per terms mutually agreed. Each invoice shall be delivered to the address of the company, as specified or by hand.
    3.2) The Channel Partner should get 2 copies of the invoice and take receivable signature (Signature, Name, Date) on duplicate copy from Channel Partner Relations Team and send the image on CP Relations WhatsApp Number: +91 9175994472 or mail on: cprelation@solitaire.in.

    4) Credit Process and Payout Terms
    4.1) All commissions will be calculated as per grid on Base Rate and Floor Rise (In case of Residential)
    4.2) In case of closure within 90 days from the date of first visit respective CP will get commission (as per grid) on Base Rate + Floor Rise (In case of Residential).
    4.3) In case of closure post 90 days via same Channel Partner, the Channel Partner shall be eligible for 2% commission. No Commission in case of closure by other source.
    4.4) In case of closure within 90 days via same Channel Partner, The Respective Channel Partner shall be eligible for commission as below:

    ** All Booking Active Channel Partners of FY 2020-2021 would be eligible for Health Insurance as per company Policy**

    ** All New Registration Active Channel Partners for the Current FY 2021-2022 would also be eligible for the Health Insurance Policy as per the company policy**

    ** Channel Partner Upgradation Program- For Top 10 CP’s of every launch, The company would arrange real estate industry related courses in India’s Leading Management Institutions for their business growth (3-5 Days) **

    ** All the cases where stamp was purchased before 31st March 2021 will not be considered in the Current Financial Year 2021-2022**

    5) Channel Partners Payout Process
    5.1) Once booking amount + SDR + 10% AV received – Invoice Submission
    5.2) On the Day of Registration – Payout on Same day.
    5.3) On the Day of Registration – 10% AV Not Received – 45 Days (From the Date of 10% paid by the customer)

    6) Channel Partners Source Clash
    6.1) Channel Partners will have to submit the disposition about the case with all supporting documents on cprelation@solitaire.in
    6.2) All source clashes will be resolved within 72 hours of booking as per policy.
    6.3) Within 24 Hrs. CP Relations will resolve the query else escalate to the AUDIT team. AUDIT team to get back with their findings of the query within 48 Hrs.

    8) Terms & Conditions
    As our Empaneled Channel Partner, you hereby agree that you will comply with all the terms and conditions as defined below:
    8.1) Every Channel Partner must mention at the start of FY if he is going to work as an individual firm or partnership firm and for the rest of year it will not be changed.
    8.2) The Company governs the Terms and Conditions of this policy and has the right to amend this from time to time.
    8.3) The Channel Partner, upon execution of empanelment form and submitting of his/her/its RERA registration details of respective Real Estate Regulatory Authority, shall be authorized to solicit prospective purchaser interested in purchasing flats/villas/apartments/houses/shops/offices/row houses/ units and any other property developed and promoted or managed by the Company (herein referred to as “Properties”) in its various projects (herein referred to as “Projects”) situated and developed in India from time to time at such price and on such terms and conditions as may be stipulated in writing by the Company.
    8.4) The Channel Partner will not misrepresent or commit anything to the prospective purchaser for and on the behalf of the Company, including, but not limited to, Project milestone dates, finishes and specifications, amenities etc. and strictly abide by the information pertaining to the Project being given to the Channel Partner by the Company.
    8.5) The Channel Partner further undertakes and agrees to aid, in order to enable the purchaser and the Company to exercise their respective rights and fulfil their respective obligations at the time of marketing and selling Properties and not involve himself in any unfair trade practices, namely: — Making any statement, whether orally or in writing or by visible representation which–
    I. Falsely or knowingly represents that, services or amenities are of a particular standard or grade.
    II. represents that the Company /itself/ himself has approval or affiliation which such the Company/itself/ himself does not have.
    III. makes a false or misleading representation concerning the services which the Company does not provide.
    IV. Makes a false commitment on behalf of company with regarding to pricing or payment structure.
    8.6) The Channel Partner undertakes to exercise all reasonable care and skills in the performance of its duties and shall act faithfully towards the Company.
    8.7) The Channel Partner, agrees to carry out the following activities to the best of his/her/their abilities:
    I. Actively solicit purchase interest for Properties and facilitate transaction closures with various prospective purchasers.
    II. Co-ordinate, validate and obtain completely filled-in application forms from various prospective customers along with all their required payments, KYC documents and any other enclosures as required by the Company.
    III. Co-ordinate and facilitate timely disbursement of complete payment(s) from prospective purchasers to the Company within stipulated time periods.
    IV. Assist in the execution of the documents between the purchaser and the Company, e.g., Registration of Agreement of Sale and any such other required legal document(s) that may be known by way of any other name.
    8.8) The Channel Partner shall not seek any discount in price of the Properties fixed by the Company on any bookings, bulk or otherwise, facilitated by the Channel Partner.
    8.9) A Channel Partner will qualify for the commission/ fees if and only if a booking is accompanied by a duly filled-in and signed Channel Partner Booking Confirmation Form.
    8.10) The Company shall make necessary/ statutory tax deductions at source as applicable and then release the payment towards the Channel Partner commission/ fee.
    8.11) The Channel Partner shall be responsible for its tax liabilities such as income tax, capital gains tax and all other applicable taxes.
    8.12) Payment timelines/milestones towards commission/ fee may vary for bookings made under various schemes/ offers.
    8.13) The Channel Partner will not subvert/ share any percentage of commission/ fee with prospective purchaser(s). If found guilty of the same, it will be considered as a breach of the terms and conditions of this Channel Partner empanelment. In such a case, the Company reserves the right to reject all claims at its sole discretion and take all the necessary action(s), legal or otherwise against such Channel Partner.
    8.14) Ex-Employee can do business with Solitaire as Channel Partner/Real Estate consultant only after a cooling period of 1 Year, with prior approvals from the Board of Directors.
    8.15) The Channel Partner’s staff, employees who perform through the Channel Partner under this Agreement shall be bound by the terms and conditions of this Agreement. Similarly, the Channel Partner shall be also responsible and accountable for the adherence of the terms and conditions of this Agreement by its/his staff and employees.
    8.16) No commission shall be payable for bookings involving any owner/partner/director/of the channel partner and/or his/her immediate family member (parents, Parents-in-law, spouse, children, grandparents, Sibling, grandchildren, sister-in-law and/or firms/companies controlled by such individuals.
    8.17) No Commission shall be payable for bookings if there is any benefit gained by any other source.
    8.18) In the event that the customer cancels or terminates the agreement of sale/allotment letter to purchase the residence/unit after property registration, the company will call for refund of Consultancy fees paid to the Channel Partner before attempting to refund the sale consideration received from the client. In the event the Channel Partner does not refund the Consultancy Fees to the company, the company shall be entitled to adjust/deduct the amount against the amounts received from the client. The consultant agrees to indemnify the company for Consultancy fees paid and informs the client accordingly.
    8.19) The company reserves the right to decide the Consultancy fees with respect to each project/ property/ party involved, at its own discretion as it deems fit.
    8.20) Company may terminate its agreement upon notice in writing if the channel partner is in breach of any material obligation contained in this agreement, which is not remedied within 30 days of written notice from the Company so to do.
    8.21) The Channel Partner agrees that he/they/it shall not disclose, divulge, reveal, report or use, any Confidential Information which the Channel Partner has obtained as authorized by the Company. This obligation will survive indefinitely upon termination of this Agreement.
    8.22) In case any client has visited solitaire via an “X” Source and any of his immediate blood relatives is visiting Solitaire via “Y” Source on a later date then his blood relatives will be tagged to the “X” Source.

    Marketing & Advertising:
    8.23) All the entities promoted and formed by Mr. Ashok Chordia and Mr. Atul Ashok Chordia and which has Solitaire as its Brand Name, hereinafter are named as Solitaire Project and the entities as Solitaire and the related meanings should be construed Accordingly.
    8.24) Any communication (including but not limited to print advertisement, Web, Outdoor or Email) carrying the Solitaire Brand name or any project name or logo before publishing has to be approved in writing by a concerned Solitaire Entity (At or above GM Level).
    8.25) Rendered views of the properties or amenities belonging to Solitaire projects cannot be used by anyone unless approved in writing by a concerned Solitaire Entity (At or above GM Level).
    8.26) No part of the brochures or any controlled circulation material shared for training or indicative purpose shall be circulated to an external member without prior written approval by a concerned Solitaire entity. (At or above GM level). Any liability arising due any such material without approval shall be the responsibility of such channel partner.
    8.27) No SMS or Email communication directly or indirectly mentioning any of the Solitaire Projects can be circulated either mass mailings or individually to any third party without explicit approval/consent from authorized Solitaire Associate. Content for the said approved SMS/Email cannot be changed post approvals.
    8.28) Usage of any associated partners involved with Solitaire in any project in any written, printed, electronic or any other form of communication is strictly prohibited, unless explicitly approved in writing by a concerned Solitaire Entity. (At or above GM level).
    8.29) No website, blog. micro-site or landing page or social media page including but not limited to Facebook, Twitter, LinkedIn, and Pinterest can be created which directly or indirectly shares material information on Solitaire Project, without prior written approval from an authorized solitaire Associate. Violation of Solitaire copyright/trademark will attract stringent legal action. No usage of the Solitaire Logo, images from Solitaire Marketing material, images or logos of partners involved in the project is allowed on the partner’s website without prior written approval by an authorized Solitaire Associate. (At or above GM level).
    8.30) All approvals must be accorded in writing or through email and no oral approvals will be solicited or accepted.
    8.31) The materials shared by Solitaire are internal documents and is the sole property of company and cannot be shared with any external party.
    8.32) No part of the final form design made for Solitaire can be shared by the vendor/partner and would be the sole property of Solitaire.
    8.33) The project for which the vendor/partner is working with Solitaire would be kept strictly confidential and limited to internal members only.
    8.34) Any violation of the above-mentioned guidelines shall constitute a serious breach and shall lead to cancellation of commercial contract, forfeiture of all outstanding payments due including commissions and other receivables from Solitaire) in addition to strict legal action by Solitaire (and/or other partner companies)

    There will be Annual Rewards and Recognitions for Channel Partners. Channel Partners can achieve that by doing business in any of Solitaire projects. It will be valid for the prevailing Financial Year.

    **Solitaire holds all rights to revise the policy at any given time if necessary.**

(At or above GM level). Any liability arising due any such material without approval shall be the responsibility of such channel partner.
      8.27) No SMS or Email communication directly or indirectly mentioning any of the Solitaire Projects can be circulated either mass mailings or individually to any third party without explicit approval/consent from authorized Solitaire Associate. Content for the said approved SMS/Email cannot be changed post approvals.
      8.28) Usage of any associated partners involved with Solitaire in any project in any written, printed, electronic or any other form of communication is strictly prohibited, unless explicitly approved in writing by a concerned Solitaire Entity. (At or above GM level).
      8.29) No website, blog. micro-site or landing page or social media page including but not limited to Facebook, Twitter, LinkedIn, and Pinterest can be created which directly or indirectly shares material information on Solitaire Project, without prior written approval from an authorized solitaire Associate. Violation of Solitaire copyright/trademark will attract stringent legal action. No usage of the Solitaire Logo, images from Solitaire Marketing material, images or logos of partners involved in the project is allowed on the partner’s website without prior written approval by an authorized Solitaire Associate. (At or above GM level).
      8.30) All approvals must be accorded in writing or through email and no oral approvals will be solicited or accepted.
      8.31) The materials shared by Solitaire are internal documents and is the sole property of company and cannot be shared with any external party.
      8.32) No part of the final form design made for Solitaire can be shared by the vendor/partner and would be the sole property of Solitaire.
      8.33) The project for which the vendor/partner is working with Solitaire would be kept strictly confidential and limited to internal members only.
      8.34) Any violation of the above-mentioned guidelines shall constitute a serious breach and shall lead to cancellation of commercial contract, forfeiture of all outstanding payments due including commissions and other receivables from Solitaire) in addition to strict legal action by Solitaire (and/or other partner companies)

      There will be Annual Rewards and Recognitions for Channel Partners. Channel Partners can achieve that by doing business in any of Solitaire projects. It will be valid for the prevailing Financial Year.
